The embattled Sears Holdings is taking all the help it can get, even if that means reaching into the pockets of its CEO, Edward Lampert.

According to an SEC filing submitted on Monday, the retailer is securing a $400 million loan from ESL Investments, Lampert's hedge fund, which will be used for as-of-yet unspecified purposes.

Lampert -- and by extension, ESL Investments -- currently stands as Sears Holdings' biggest shareholder. However, ESL lowered its stake in Sears less than a year ago due to pressure from wary investors.

Former Stanley Black & Decker chairman Nolan Archibald, who retired from the company in March of last year, received a compensation package totaling approximately $133 million last year, according to an annual proxy SEC filing the company published on Tuesday.

A $51.4 million merger bonus contributed to the unusually high payout, which was "based on the annual run-rate of cost savings achieved by the company" as of his retirement that were attributable to the merger of Stanley and Black & Decker in 2010.

Beacon Roofing Supply has appointed Jeanine Montgomery as VP and chief accounting officer, effective July 8. Montgomery is replacing current CAO Rick Welker, who will remain on board as acting CFO for approximately one month to assist with the transition.

Ronald Sargent has resigned from the Home Depot board of directors, effective immediately, according to a filing with the U.S. Securities and Exchange Commission (SEC). Sargent did not cite any disagreement on any matter relating to the company’s operations, policies or practices, according to the SEC statement.

BlueLinx Holdings, the Atlanta-based distributor of building materials, announced in an Aug. 10 Securities and Exchange [SEC] filing that board member Robert Warden has submitted his resignation, effective Aug. 6.

The reason given was that Warden has also resigned from Cerberus ABP Investor, the largest stockholder of BlueLinx Holdings. Warden was a managing director at Cerberus.

Based on the number of new homes available for sale, the months required to sell them and the total new homes for sale, there's some good news, according to Global Hunter Securities: "We believe the new-home market is finally forming a bottom."

The Securities and Exchange Commission (SEC) has announced a settlement with the former chief financial officer of Beazer Homes USA to recover his bonus compensation and stock sale profits from the period when the Atlanta-based home builder was committing accounting fraud, according to an Aug. 30 announcement.

Scott Freidheim, president of the Craftsman, Kenmore and DieHard brands at Sears Holdings, has resigned, according to an Aug. 23 filing with the Securities and Exchange Commission (SEC). Freidheim, who took over the position seven months ago, is leaving on Sept. 2 “to pursue another opportunity,” the SEC filing said.

Sears Holdings has named William Phelan as acting CFO, replacing Michael Collins, currently SVP and CFO, who resigned last week to pursue another opportunity, the company reported in an SEC filing.

Collins will remain with the company until June 10 in order to ensure a smooth transition, Sears noted in the filing.

In connection with a recent offering of senior secured notes, Builders FirstSource filed financial results for the fist two months of 2011 with the Securities and Exchange Commission (SEC) on April 5.

Sales for January and February 2011 were $95.7 million, a 4.2% increase over sales of $91.8 million for the two months ended Feb. 28, 2010. Lumber commodity prices were comparable over these same periods, and single-family housing starts declined 19.8% in its markets during January and February.

Stephen Krull, senior VP and general counsel of Owens Corning, has resigned, effective immediately, to pursue another opportunity, according to a Match 28 filing with the Securities and Exchange Commission (SEC). 

Krull will work with the company to ensure an orderly transition in responsibilities, the SEC document said. Owens Corning also announced that it has appointed John Christy as the interim general counsel.
